Acceptance of Terms
By creating an account or using Feedbacker ("the Service"), you agree to these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users β customers, vendors, market managers, and nonprofits.
The Service
Feedbacker is a review, discovery, and payments platform serving farmers market vendors, market managers, nonprofits, and their customers. It allows customers to leave reviews for vendors, vendors to create public profiles and collect subscribers (Premium), market managers to manage their listings and (with PRO) collect booth-fee payments through the platform, and nonprofits to list at markets for outreach.
Feedbacker may modify, suspend, or discontinue the Service at any time with reasonable notice. We are not liable to you or any third party for any such modification, suspension, or discontinuation.
Availability. We strive to keep the Service available at all times but do not guarantee uninterrupted or error-free availability.
Accounts
- You must provide a valid email address to create an account.
- You are responsible for keeping your password secure.
- You may not create an account on behalf of someone else without their permission.
- One person or business may not hold multiple accounts to manipulate reviews or ratings.
- You must be at least the minimum age required by applicable law to use the Service (13 in the United States).
- Account types (customer, vendor, market manager, nonprofit) each carry different rights and obligations β some features described below are limited to specific account types.
Reviews and User Content
When you submit a review, photo, message, or any other content to Feedbacker, you confirm that:
- The review reflects your genuine, first-hand experience with the vendor and is based on an actual transaction, interaction, or in-person experience with them β not on hearsay or a passing observation.
- You are not affiliated with the vendor or a competitor in a way that creates a conflict of interest.
- The content is accurate to the best of your knowledge.
- The content does not contain hate speech, harassment, or defamatory statements.
- The content does not include personal information about private individuals other than yourself.
- The content does not infringe another person's copyright, trademark, or other intellectual property rights, and you either own the rights to any photos or images you upload or have permission to use them.
You retain ownership of the content you submit. By submitting it, you grant Feedbacker a non-exclusive, royalty-free, worldwide licence to display, reproduce, and distribute that content as part of the Service.
Nonprofit accounts may not submit customer reviews of vendors. To leave a review, use a personal customer account with a different email.
Feedbacker may remove any content that violates these terms or that we determine, at our sole discretion, is harmful to the platform or its users.
Automated Moderation
Feedbacker may use automated systems, including machine learning tools, to detect spam, fraudulent or duplicate reviews, abusive content, bot activity, or other violations of these Terms. Automated decisions may be reviewed by Feedbacker staff. If your account or content is affected by an automated action you believe was mistaken, contact us and we will review it.
Vendor Listings
Vendors are responsible for ensuring their business information β including name, description, market affiliations, and any listed permits or credentials β is accurate. Feedbacker is not responsible for verifying vendor claims or the accuracy of vendor-provided information.
Feedbacker may create or maintain unclaimed listings for businesses based on publicly available information. Vendors may claim their listing by creating an account.
Market Manager Accounts
Market Manager accounts are for the operators of farmers markets. Creating a manager account for a market includes submitting a claim, which admin reviews before granting management access. By claiming a market, you represent that you are authorised by the market to manage its listing on Feedbacker.
Market managers are responsible for keeping their market's public information current β including schedule, location, and season. Market managers are solely responsible for decisions regarding vendor approvals, listings, booth assignments, and event administration. Feedbacker is not a party to those decisions and is not responsible for disputes that arise from them.
Nonprofit Accounts
Nonprofit accounts are for tax-exempt or community organizations seeking outreach at farmers markets. Nonprofits may:
- Maintain a public profile with mission statement, EIN, and social links.
- Apply to be listed at markets on a per-event basis (listings expire when the market's event ends).
- Collect newsletter subscribers directly from their public profile.
Nonprofits may not leave reviews of vendors or markets. Newsletter listings for nonprofits are provided free of charge; there is no premium tier for nonprofits.
Vendor Premium Membership
- Feedbacker Premium is a paid subscription for vendors. Pricing is disclosed at the checkout page and may change with notice.
- Payment is processed securely by Stripe. By subscribing, you also agree to Stripe's terms of service and privacy policy.
- Subscriptions automatically renew each billing period unless cancelled.
- You may cancel at any time through your dashboard's "Manage Subscription" button, which opens Stripe's customer portal. Your Premium access continues until the end of the current billing period.
- We do not offer refunds for partial months.
- Feedbacker may change the price of Premium with 30 days' notice.
- Premium features may evolve as Feedbacker improves. Individual features may be added, removed, or modified over time. Your subscription entitles you to access the current Premium tier, not to any specific feature that existed at signup.
PRO Markets & Booth Fee Payments
Market managers may enable PRO features, which allow the market to collect booth-fee payments from vendors through Feedbacker via Stripe Connect Express.
- PRO market managers must onboard through Stripe Connect Express, which requires accepting the Stripe Connected Account Agreement. Feedbacker does not store bank details, tax IDs, or KYC documentation β that data lives with Stripe.
- When a vendor pays a booth fee through Feedbacker, Stripe splits the payment between the market's Stripe Connected Account (the booth fee minus Feedbacker's application fee) and Feedbacker (the application fee). Payout scheduling and fees follow Stripe's standard schedule.
- Feedbacker's application fee percentage is disclosed to market managers on their dashboard and may vary by market. Changes to the fee are communicated in advance.
- Vendors may pay by cash or cheque instead of card; markets may then mark them paid manually. Card payments are optional and require both the market to have completed Stripe onboarding and the vendor to have a card on file.
- Refunds are issued by the market manager through Stripe; Feedbacker mirrors the refund status once Stripe notifies us via webhook.
- Vendors may contest a booth-fee charge through their dashboard. Contests are reviewed by Feedbacker admin, who may work with the vendor and market to resolve the dispute or authorise a refund.
Newsletters
Premium vendors and all nonprofits may collect newsletter subscribers through the Service. When a customer subscribes, the customer's email address is shared with the receiving vendor or nonprofit so they can send updates directly.
Vendors and nonprofits agree that they will:
- Use subscriber emails solely to send updates related to their business or organization.
- Obtain any legally required consent before sending marketing communications, and comply with the CAN-SPAM Act and any other applicable email marketing laws.
- Honour any unsubscribe request received from a subscriber.
- Not sell, rent, or share subscriber emails with any third party.
Feedbacker does not send marketing emails on behalf of vendors or nonprofits. We only pass along the subscriber's email at the time of subscription. Feedbacker is not responsible for the content, frequency, or compliance of emails sent by vendors or nonprofits to their subscribers.
Direct Messages
Users may send private messages to other users through the Service. Both parties can read the full thread. Feedbacker may review messages when investigating reports of abuse, harassment, or violation of these Terms. Do not use direct messages to send content that violates the "Reviews and User Content" section above.
Prohibited Conduct
You agree not to:
- Post fake, incentivised, or misleading reviews.
- Attempt to manipulate ratings through coordinated review campaigns.
- Harass, threaten, or intimidate other users, vendors, market managers, or nonprofits.
- Use the Service for any unlawful purpose, including money laundering or fraud.
- Attempt to scrape, copy, or mirror the Service without permission.
- Attempt to gain unauthorised access to any part of the Service, other users' accounts, or Stripe Connected Accounts.
- Charge or attempt to charge booth fees to vendors who did not attend or agree to attend.
- Contest legitimate booth-fee payments in bad faith.
- Use newsletter subscriber lists for anything other than direct communication with subscribers of that business or organization.
Violation of these rules may result in immediate account suspension or termination, suspension of PRO or Premium features, and where applicable, forfeit of pending payouts subject to Stripe's terms.
Account Termination
You may delete your account at any time from your dashboard. Upon deletion:
- Your email and password are permanently removed.
- Reviews you wrote are anonymised.
- Vendor, market, or nonprofit profiles you owned are orphaned (unclaimed) rather than deleted, so historic booth-fee records and customer reviews remain accurate.
- Newsletter subscriptions tied to your email are removed.
- Pending booth-fee payments remain owed and settled through the normal flow.
Feedbacker may suspend or terminate your account if you violate these terms, engage in fraudulent activity, or abuse the platform. We will make reasonable efforts to notify you before doing so except where immediate action is necessary to protect other users or the integrity of the Service.
Intellectual Property
The Feedbacker name, logo, and any related marks are trademarks of Feedbacker and may not be used without our prior written permission. All software, design, documentation, and other materials that make up the Service are the intellectual property of Feedbacker or its licensors and are protected by copyright and other laws.
Disclaimer of Warranties
The Service is provided "as is" and "as available" without any warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not endorse any vendor, market, nonprofit, or review on the platform. Vendor permit and credential information is provided by the vendor and not independently verified by Feedbacker.
Force Majeure
Feedbacker is not responsible for delays or failures in performance caused by events outside our reasonable control, including internet outages, natural disasters, pandemics, acts of war or terrorism, governmental actions, labour disputes, or failures of third-party providers (including but not limited to Stripe, Vercel, Neon, Resend, and Mapbox).
Limitation of Liability
To the fullest extent permitted by law, Feedbacker shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability to you for any claim arising from the Service shall not exceed the amount you paid us (as a subscription fee or application fee) in the 12 months preceding the claim.
Feedbacker is not responsible for disputes between vendors, market managers, nonprofits, and their customers or subscribers. Any dispute over goods purchased at a market, services delivered, or booth-fee amounts is between the parties directly.
Governing Law
These terms are governed by the laws of the State of California, United States, without regard to its conflict of law provisions. Any dispute arising from these terms or the Service will be brought exclusively in the state or federal courts located in California.
